1. Agreement and eligibility
These Terms govern your use of Demotapes, including uploading files, importing audio from links, storing content, playback, optional analysis, and any sharing or analytics features actually made available (the “Service”). “Demotapes,” “we,” and “us” mean the operator identified above. “You” includes the person using the Service and any organization that person is authorized to represent. You must be at least 18, have legal capacity to enter this agreement, and have authority to bind an organization if acting for it.
The upload confirmation presents these Terms before you submit content. You must actively confirm your rights and agreement to the version presented. If you do not agree, do not upload or import content. Mandatory rights that cannot lawfully be waived remain in effect.
The hosted service includes private media storage, shared listening pages with optional page passwords, and Dub short links and analytics. The provider register identifies enabled storage providers. An uploader cannot agree to analytics or external processing on behalf of every listener.
2. Our role; no endorsement or content transaction
Demotapes supplies technical tools that, at a user's direction, receive or fetch files, store them, create playback copies, transmit audio, and perform requested processing. The uploader selects the content, source links, processing options and available access settings. We do not become the author, rights owner, record label, publisher, or the uploader's agent by providing these tools.
We are not a party to an agreement between an uploader and a listener, artist, label, collaborator or rights holder unless we separately agree in writing. We do not clear rights, guarantee royalties, endorse uploaded material, or warrant the uploader's authority. Technical availability, processing or playback is not approval of a work or certification that a use is lawful.
The Service does participate technically in storage and delivery. Nothing in these Terms denies those activities, excludes a legal duty that applies to us, or excuses our own unlawful conduct.
3. Uploader responsibility and rights warranty
“Your Content” means everything you submit or cause the Service to retrieve or process, including recordings, compositions, lyrics, performances, artwork, metadata, source links, transcripts and stems. Importing another site's link counts as submitting content, even if you did not create or originally upload the file.
For each submission, you represent and warrant that you own the necessary rights, have all necessary permissions, or have another lawful basis for every use you request. You are responsible for checking the scope, territory, duration and restrictions of that authority. This includes, where applicable, rights in the sound recording and underlying composition, samples, beats, lyrics, artwork, performers' contributions, and a person's voice, likeness, privacy or confidential information.
You are responsible for obtaining any required licenses, consents and clearances, making required disclosures, and paying royalties or other amounts arising from your content and instructions. You must not represent that owning a recording automatically gives you rights to every element within it.
You are responsible for the lawfulness of your submissions and the access or processing you request. Stop using the Service for affected content if your authority expires, is withdrawn, or does not cover the requested use. On a reasonable request concerning a claim, provide information supporting your authority; we may restrict the affected material while reviewing it.
4. Importing links is not permission
A public link, downloadable file, signed URL, browser-accessible audio stream or absence of a password does not itself grant a copyright license or permission to rehost, redistribute, analyze or sell the material. You must have authority for the import and subsequent uses, and comply with applicable source-provider restrictions. An import tool is a technical capability, not legal clearance.
Do not use the Service to circumvent access restrictions, obtain credentials or private sharing tokens without authorization, misappropriate unreleased material, or evade a takedown or suspension.
5. Ownership and limited permission to operate
You and the applicable rights holders retain ownership of Your Content. You grant us a non-exclusive, worldwide, royalty-free permission, only to the extent of your rights or lawful authority, to receive, retrieve, store, copy, transcode, transmit and display Your Content as needed to operate the features you request. This includes creating playback copies and, when you select them, stems, transcripts and analysis results. We may use service providers for those limited purposes, subject to appropriate obligations.
This permission does not grant ownership, unrelated commercial exploitation, or permission to train or fine-tune AI models on Your Content. Demotapes does not use, sell or license your audio, artwork, lyrics or song metadata for AI training. Uploading, importing, stashing, playing or sharing does not authorize such use. Requested inference or detection is processing, not a transfer of ownership.
Operational permission ends when the content is removed from active service, except for copies reasonably required for technical deletion, security, backups subject to deletion cycles, dispute preservation or legal obligations. Retained copies must not be used for unrelated purposes. Deletion cannot recall copies already obtained by other people.
6. Rights holders retain their remedies
Nothing in these Terms limits a rights holder's existing lawful claims against an uploader or any other responsible person. A rights holder may seek removal, an injunction, damages or other remedies available under applicable law. Using an anonymous session, private link or password does not create immunity for infringement.
Rights holders do not have to accept these Terms to exercise statutory rights. These Terms neither create a copyright claim where the law provides none nor remove an uploader's defenses, exceptions, licenses or procedural rights. A complaint alone is not a determination of liability. Only the relevant parties, a competent tribunal or another lawful process can resolve a disputed claim.
7. Copyright complaints and repeat infringement
Our Copyright and complaints policy describes notices, counter-notices, access restrictions and repeat infringement. We may remove or disable content, restrict a session, suspend imports or terminate access where reasonably necessary to respond to a credible claim, enforce these Terms, protect rights, or comply with law. We will apply legally required notice and challenge procedures.
Our policy is to terminate access, in appropriate circumstances, for repeat infringers and to consider the reliability and outcome of complaints, counter-notices and court decisions. Do not create new sessions or re-import material to evade enforcement. We will accommodate applicable standard technical measures where legally required. Posting a policy does not by itself establish eligibility for a safe harbor.
8. Legal process and available records
We may preserve relevant records and respond to valid legal requests or orders as required or permitted by applicable law, taking account of privacy, proportionality and available objections. We may disclose information we actually possess when legally required, or otherwise lawfully necessary for a dispute or rights complaint. A claimant's request does not automatically entitle them to private information.
We do not promise that every anonymous uploader can be identified or that records exist for every activity. We also do not promise anonymity against valid legal process. Do not use the Service on the assumption that it will conceal unlawful activity.
9. Storage, passwords and download controls
Keep your session credentials, passwords, management link and source sharing tokens secure. Anonymous access may be lost when a session expires, browser data is cleared, or you start a replacement session without a recovery method. Maintain your own backups.
The hosted service uses private Backblaze B2 storage for new media and retains private Vercel Blob storage for existing objects. The application controls who can receive stored audio. Private storage is not a promise of end-to-end encryption, absolute confidentiality, or an inability of authorized operator personnel and infrastructure providers to access content for legitimate service, security or legal purposes.
An optional uploader recovery password protects management access. Uploaders choose public listening (anyone with the listening link) or password-protected listening with a separate page password; these are different permissions. Public listening does not make the storage bucket public. Do not distribute a management link or password as a listening invitation. A short link is not itself a password gate, and anyone receiving a listener link and required password may forward them. A password does not prove a recipient’s identity or give them a copyright license.
Access revocation and password changes restrict future access when implemented and applied. They cannot recall previously delivered files, cached copies or recordings. Disabling a short link alone does not delete the project or invalidate every other access route.
New Dropbox imports play directly from Dropbox with either download setting. We temporarily retrieve the files to validate them and produce waveform data; we do not keep a new B2 audio backup for these linked imports. The source URL is visible to authorized listeners and is governed by Dropbox’s access settings, availability and transfer limits. Our page password cannot revoke a source URL already delivered. Source edits may change playback; missing or revoked source links stop playback. “Downloads off” hides and disables the Service’s download actions. It does not prevent listeners from saving streamed audio or recording playback. No setting guarantees that playable audio is impossible to copy.
Public tape and song links include their titles, artist and artwork in share previews. Messaging services may cache those previews. Password-protected links use a generic preview; changing a previously public tape to private cannot recall previews already cached by another service.
The Privacy notice, Cookies & analytics notice and provider register explain current and proposed data processing. These informational notices are not blanket consent to tracking or external processing. The local prototype stores media and session records on its host machine.
10. Analysis and third-party services
Detection scores, stems and transcripts may be wrong or incomplete. They are not proof of authorship, infringement, ownership, identity, a particular generator's involvement, or the amount of AI contribution. Do not present them as a legal determination or use them as the sole basis for an accusation or consequential decision.
Third-party sources and processors operate independently and may change, expire, restrict access or fail. We do not control their availability or grant rights to their materials. Optional external processing requires the separately presented consent; accepting these Terms alone does not enable it.
11. Short links and listening statistics
Where enabled, Dub provides short-link redirects and attribution. Click processing may occur at the redirect before a listener reaches Demotapes or enters a page password. A link click, a qualified song play and an estimated unique listener are different measurements. The deployed player must state its qualification rule.
Statistics are estimates affected by browser settings, consent choices, blocking, repeated sessions, automated traffic, outages and fraud. They are not verified audience identities, royalty statements, proof of delivery, or a guarantee of payment. We may correct invalid events. Do not manipulate counts or use analytics to identify, target or harass listeners.
Uploader agreement to these Terms does not supply listeners’ analytics consent. We must provide the notices, lawful bases and choices required for the actual tracking, including redirect-side processing.
12. Allowance, retention and future payments
The proposed free hosted allowance is 100 MB per project, meaning 100,000,000 bytes across submitted audio and artwork. The current prototype applies 100,000,000 bytes per project across source audio and uploaded artwork. A project corresponds to a private workspace; replacing artwork replaces its quota usage. Artwork is limited to 5 MB per image and stored as an optimized copy. Derivatives and operational files can consume additional infrastructure storage. Applicable file, duration, queue and usage limits are displayed by the Service. A free allowance is not a promise of unlimited bandwidth or permanent archival storage.
There is no automatic media expiry in the current local build. Any hosted inactivity policy, expiry, deletion timetable or material reduction of an existing allowance must be specified and notified as required before it is applied. Retention and legal holds are described in the Privacy notice. We may restrict abusive usage, address security incidents, or remove material where legally required.
Dots sign-in is optional for saving your stash across devices. Paid listening, wallet-balance gates and stablecoin payments are not enabled. These Terms do not authorize charges or transfers. Before a paid feature is offered, the checkout and any supplemental terms must identify the seller/recipient, price and fees, access period, supported chain/token, payment verification, refunds, disputes and applicable consumer rights. A balance check is not a payment. A listening payment would not transfer copyright unless an express, separate license says so.
13. Prohibited use
Do not submit unlawful or infringing material, impersonate a rights holder, publish confidential material without authority, submit fraudulent claims, interfere with security, distribute malware, overload the Service, evade limits, or assist others in doing so. You must not falsely attribute content or imply that Demotapes has cleared or endorsed it.
14. Uploader indemnity
To the extent permitted by applicable law, you will indemnify and hold harmless the operator and its personnel against third-party claims and resulting liabilities, damages, settlements and reasonable legal costs to the extent caused by Your Content, your lack of required rights, your instructions, or your material breach of these Terms or applicable law.
This obligation does not cover losses to the extent caused by our own breach, negligence or unlawful conduct, or liability that cannot legally be shifted to you. We will give reasonably prompt notice of a claim, provide reasonable cooperation at your expense, and allow a reasonable opportunity to participate in its defense. Neither party may agree to a settlement imposing an admission, non-monetary obligation or unapproved liability on the other without that party's prior written consent, not unreasonably withheld. Mandatory consumer protections prevail.
15. Availability and warranties
To the extent permitted by law, the Service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability. We do not guarantee successful importing, delivery, storage, recovery, security against every attack, permanent availability or error-free analysis. Features and limits may change; maintain independent copies of important material.
These disclaimers do not override an express promise we make to you, mandatory consumer guarantees, or duties that law does not allow us to exclude.
16. Limits on the operator's liability
To the extent permitted by law, the operator will not be liable for indirect or consequential loss, lost profits or lost business arising from the Service. Subject to the exceptions below, the proposed aggregate cap for the operator's liability arising from the Service is the greater of US$100 and the fees you paid the operator for the Service in the twelve months preceding the event giving rise to the claim. This proposed cap requires review for the operator's jurisdiction before this draft takes effect.
No exclusion or cap applies to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where liability cannot be limited, mandatory consumer rights, or any other liability that applicable law does not permit us to exclude or limit. These Terms do not bind non-party rights holders to the operator's liability cap and do not reduce remedies they have under law. The cap does not excuse your own infringement or breach.
17. Suspension, termination and changes
You may stop using the Service and remove your content through available controls. We may restrict or terminate access for material breach, unlawful activity, a rights complaint, security needs or legal obligations, subject to applicable law and any required opportunity to challenge the decision. We may retain evidence where legally justified; operational copies otherwise follow the applicable deletion process.
Ownership, accrued obligations, complaint procedures, applicable indemnities and liability provisions survive to the extent necessary to address events occurring during use. Material changes will be presented with a new version and, where required, renewed acceptance. A changed version is not applied retroactively to enlarge obligations for earlier conduct without lawful consent.
18. Governing law, disputes and general provisions
Subject to mandatory applicable law, Delaware law governs these Terms, without applying conflict-of-law rules that would require another jurisdiction’s law. Disputes may be brought in competent state or federal courts in Delaware; this is a non-exclusive forum provision. Consumers retain mandatory protections and any right to bring proceedings in their home jurisdiction. This draft imposes no mandatory arbitration or class-action waiver. Counsel must review this provision for the operator’s actual legal identity and user markets before it takes effect. Nothing prevents a rights holder from pursuing available remedies in a competent forum.
If a provision is invalid, it will be limited only as necessary or severed where lawful; the remainder continues to apply. A failure to enforce a provision is not a permanent waiver. These Terms and expressly incorporated policies govern the Service, subject to any separately signed agreement and mandatory law. Questions may be sent to help@🗣.fm.
